We are committed to providing competent assistance that includes special education knowledge, reasonable preparation, skill, and thoroughness necessary for effective advocacy.

4. Technology-Assisted Services

4.1 Use of Technology in Service Delivery

SOAR Educational Services utilizes various technology tools, including artificial intelligence (AI) systems, to enhance the quality, efficiency, and accessibility of our advocacy services. These technologies assist in document analysis, strategy development, research, communication template generation, and other advocacy support functions. Client acknowledges that aspects of the Services may be performed, generated, or supported using artificial intelligence systems. SOAR remains responsible for the overall performance of the Services and maintains human oversight of all AI-assisted outputs.

4.2 Client Content and Permissions

When you use our Services, you provide us with materials such as educational records, IEP documents, correspondence, and related information ("Your Content"). You retain ownership of Your Content. To provide our services effectively, you grant SOAR a limited license to use Your Content solely for the following purposes:

  • Operating, providing, and improving our advocacy services to you
  • Analyzing and developing advocacy strategies tailored to your situation
  • Creating customized recommendations and communications
  • Protecting and improving our service quality
  • Developing, configuring, testing, and improving SOAR's own tools and systems as described in Section 4.6
  • Developing de-identified professional education, training, and published materials as described in Section 11.4

This license is worldwide, non-exclusive, royalty-free, and limited to the duration of our service relationship, except that the rights described in Section 4.6 and Sections 11.4 through 11.6 continue after the service relationship ends. We will not sell or license Your Content to third-party data brokers, and we do not provide Your Content to outside companies for the purpose of training their artificial intelligence models.

4.3 AI-Assisted Services Acknowledgment

Client understands and acknowledges that generative AI is a developing technology. The following important considerations apply:

Accuracy: AI-generated content or outputs may be subject to error or limitations. Client understands that all AI-assisted outputs are reviewed by SOAR's advocate before being provided to Client, and Client is responsible for reviewing and verifying any materials before use.

Human Oversight: SOAR maintains human oversight of all advocacy services. AI tools assist our work but do not replace the professional judgment, expertise, and personal attention provided by Latina Nickelson, M.Ed.

No Guarantee: SOAR does not guarantee the accuracy or reliability of outputs generated by AI systems when used outside of our direct service relationship. Any materials provided are for educational and advocacy purposes within the context of our professional relationship.

4.4 Data Processing and Security

When AI tools are utilized, Your Content may be processed through secure, industry-standard technology platforms. SOAR takes reasonable measures to protect Your Content, including using services that comply with applicable data protection standards. Client should not provide information that is not necessary for advocacy services, and should exercise caution when sharing sensitive information not directly related to the advocacy matter.

4.5 Client Responsibilities Regarding Technology

Client agrees to:

  • Provide accurate and complete information necessary for advocacy services
  • Review and verify any materials before submitting to schools or other parties
  • Maintain copies of all documents and communications
  • Notify SOAR immediately of any errors or concerns regarding service outputs

4.6 Development of SOAR Tools and Systems

SOAR builds and maintains its own advocacy tools. These include templates, letter and script libraries, checklists, planning guides, reference materials, internal knowledge bases, strategy databases, and AI-assisted systems configured by SOAR to support advocacy work.

Client agrees that SOAR may use Your Content, along with the analysis, strategies, communications, and work product generated in the course of your matter, to build, configure, test, refine, train, tune, and improve these tools. Client grants SOAR a perpetual, irrevocable, worldwide, royalty-free right to do so. This right survives termination or expiration of the service relationship.

The following limits apply to this use:

  • Content that identifies you, your child, or your school is used only inside SOAR's own secured systems and only by SOAR and its authorized personnel.
  • Before any material derived from your matter is placed into a tool that is shared with other clients, licensed, sold, published, or used in training and teaching, it is de-identified under the standard in Section 11.5.
  • SOAR does not sell or license Your Content to data brokers and does not provide Your Content to outside companies for the purpose of training their artificial intelligence models.
  • Client may request that their content be excluded from future tool development by writing to info@soareduservices.com. SOAR will honor the request going forward. Material already incorporated into an existing tool cannot be extracted from it.

All tools, systems, templates, libraries, databases, configurations, and outputs developed under this section are the exclusive property of SOAR Educational Services, INC. Client acquires no ownership interest, no license to the tools themselves, and no claim to revenue derived from them.

In plain language: Every family we work with teaches us something about how these systems respond. What we learn goes into building better letters, better scripts, and better tools for the next family. Your file stays inside our own secured systems. Nothing with your name, your child's name, or your school on it goes into anything another family sees.

5. Restrictions on Services

7.3 Access and Restrictions

Failed payments must be resolved within five (5) business days to maintain access. Sharing login credentials is prohibited and may result in immediate termination without refund.

8. Intellectual Property Protection

8.1 Proprietary Rights

All materials, methodologies (including From Chaos to Collaboration℠), courses, and content are copyrighted to SOAR Educational Services, INC. Personal use is permitted for clients; redistribution, reproduction, or commercial use requires written consent.

8.2 License to Content

Program materials are licensed for personal use only. Unauthorized use, sharing, or commercial exploitation may result in legal action and significant financial penalties.

8.3 Client Materials

SOAR maintains no ownership rights in client-provided materials but is not liable for loss or damage of client materials however caused. Client retains all rights to their own educational records, correspondence, and personal information.

8.4 AI-Generated Content

Materials created through AI-assisted processes during the course of our services are provided for Client's use in their advocacy efforts. SOAR claims no ownership rights in advocacy documents, letters, or strategy materials created specifically for Client's matter. Client is responsible for reviewing all materials before use.

8.5 Published and Training Works

Books, articles, courses, presentations, and training materials developed by SOAR that draw on de-identified professional experience under Section 11.4 are the exclusive intellectual property of SOAR Educational Services, INC and its author, including all copyright, publishing, adaptation, and derivative rights. Client acquires no ownership interest and no claim to proceeds from any such work.

8.6 SOAR Tools and Systems

All tools, templates, script and letter libraries, checklists, knowledge bases, databases, system configurations, and AI-assisted systems developed or refined by SOAR under Section 4.6 are the exclusive intellectual property of SOAR Educational Services, INC, including all improvements derived from work performed for Client. Nothing in these Terms grants Client any right, title, or interest in those tools.

9. Liability Limitations and Disclaimers

9.1 Service Outcomes

We provide NO GUARANTEES regarding specific outcomes, school district responses, or IEP process results. All services are provided on a best-effort basis with no warranty of particular results. Educational advocacy involves collaboration with school teams, and outcomes depend on many factors beyond SOAR's control.

9.2 AI and Technology Disclaimer

SOAR does not guarantee the accuracy or reliability of outputs generated by AI systems. AI-assisted content is provided subject to human review and professional judgment. Client understands that technology tools are aids to professional service delivery and do not replace the expertise and judgment of qualified advocates.

9.3 Limitation of Liability

SOAR's total liability is limited to the lesser of: (a) compensation received for the specific services in question, or (b) $5,000 in the aggregate for all claims.

9.4 Exclusion of Damages

IN NO EVENT SHALL SOAR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, PUNITIVE, CONSEQUENTIAL, OR INDIRECT DAMAGES, including but not limited to lost profits, emotional distress, or educational delays, even if advised of the possibility of such damages.

9.5 Professional Insurance

SOAR maintains professional liability insurance covering errors and omissions, general liability, and cyber liability in amounts consistent with industry standards.

10. Client Responsibilities and Cooperation

10.1 Information Accuracy

Clients must provide accurate, complete, and timely information. Failure to disclose relevant information may impact service effectiveness and outcomes. Client shall keep SOAR fully informed of any occurrences or developments that might affect the progress or outcome of the educational matter.

10.2 Communication Protocol

Primary communication occurs via email. Text messaging and social media are discouraged for case-related matters to maintain proper documentation.

10.3 Meeting Attendance Confirmation

For services including meeting attendance, the following requirements must be met:

  • Official meeting notice provided to SOAR
  • Payment of attendance fee in advance (when applicable)
  • Minimum 48-hour confirmation
  • Virtual meeting attendance is the standard delivery method; in-person attendance available by special request with additional charges

10.4 Record Retention Responsibility

Clients are responsible for maintaining their own copies of all documents and records. SOAR is not responsible for client document storage or retrieval. We recommend clients maintain organized records of all IEP documents, correspondence, and advocacy materials.

11. Confidentiality, Privacy, and Professional Use of De-Identified Information

11.1 Confidentiality Commitment

SOAR maintains strict confidentiality of all identifiable client information in accordance with FERPA regulations and professional standards, except as required by law, as permitted by Section 11.4 below, or with written client consent. SOAR obtains client permission prior to discussing any identifiable client matter with anyone other than the client.

11.2 Record Retention

Client records are maintained for a minimum of five (5) years after last activity, then securely destroyed unless legal obligations require longer retention. De-identified material created under Section 11.4 is not a client record and may be retained indefinitely.

11.3 Information Sharing

No identifiable client information is shared without signed written releases, except as required by law or to prevent imminent harm. When technology platforms are used in service delivery, Client information may be processed in accordance with those platforms' privacy policies; SOAR uses commercially reasonable efforts to select platforms with appropriate data protection measures.

11.4 Professional Training, Teaching, and Publication Use

SOAR Educational Services, INC and Latina Nickelson, M.Ed engage in professional teaching, training, speaking, and writing about educational advocacy. This work includes books, articles, blog posts, newsletters, courses, workshops, presentations, social media content, podcast and video content, and training materials for families, advocates, and school personnel.

Client agrees that SOAR may use information arising from the service relationship for these purposes only in de-identified form, as described in Section 11.5. This includes patterns, situations, school responses, meeting dynamics, strategies used, outcomes, and lessons learned.

This use is a permitted exception to Sections 11.1 and 11.3 and does not require a separate release, provided the de-identification standards in Section 11.5 are met.

11.5 De-Identification Standard

Before any information is used for the purposes described in Section 11.4, SOAR removes or alters details that could reasonably identify a child, a family, or a school. At minimum:

  • All names are replaced with pseudonyms. This includes the student, parents and guardians, siblings, teachers, evaluators, administrators, and any other individual.
  • School names, district names, program names, city, county, and state are removed or changed.
  • Dates are generalized or shifted. Dates of birth, student identification numbers, case numbers, and record numbers are never used.
  • Ages and grade levels are generalized where a specific figure would narrow identification.
  • Unusual or highly specific details that could identify a family are removed, changed, or replaced with an equivalent that carries the same instructional point.
  • Accounts may be written as composites, meaning elements drawn from multiple families are combined into a single illustrative narrative so that no account describes one identifiable family.

No IEP, evaluation report, educational record, correspondence, or other client document is reproduced, quoted at length, or displayed in identifiable form in any published or training material. Sample documents used for teaching are constructed or fully redacted.

Any use of a client's real name, photograph, voice, likeness, child's name, school name, or an identifiable account requires a separate signed release obtained in advance. Testimonials are governed by their own consent and are not covered by this section.

11.6 License and Ownership of Published Work

Client grants SOAR a perpetual, irrevocable, worldwide, royalty-free right to use de-identified information as described in Sections 11.4 and 11.5. This right survives termination or expiration of the service relationship and survives these Terms.

All resulting books, articles, courses, presentations, and training materials are the sole property of SOAR Educational Services, INC and its author. Client acquires no ownership interest, no editorial or approval right, and no claim to royalties, advances, fees, or other compensation arising from any published or training work. Client waives any such claim.

11.7 Requesting Exclusion

Client may request in writing that their family's situation not be used under Section 11.4. Send the request to info@soareduservices.com. SOAR will honor the request going forward. Because published works and training materials cannot be recalled once released, an exclusion request applies to material not yet published and not already in production at the time the request is received. Requesting exclusion does not affect the advocacy services you receive, and it does not change your fees.

11.8 Authority to Consent

The parent or legal guardian entering this agreement represents that they hold the legal authority to consent to the use of de-identified information concerning their minor child or the young adult they support, and that they consent on that basis. Where a young adult client has reached the age of majority and holds their own educational rights, that client consents on their own behalf.

In plain language: Advocacy work teaches us things other families need to hear. What we learn together may show up in a book, a class, a post, or a training. When it does, your name is not in it, your child's name is not in it, your school is not in it, and the details are changed so no one can point at the page and say that is your family. If you would rather your situation not be used at all, tell us and we will honor it. Nothing about your services changes either way.

12. Scheduling and Availability

12.1 Cancellation Policy

  • Consultations: 2 business days' notice required
  • Meeting Attendance: 5 business days' notice required
  • Mediations: 10 business days' notice required

12.2 Limited Availability

Latina Nickelson, M.Ed's unavailability during holidays, personal time, and professional obligations is acknowledged. Alternative arrangements will be made when possible.

13. Indemnification

Client agrees to indemnify and hold harmless SOAR Educational Services, INC and Latina Nickelson, M.Ed from any claims, damages, losses, or expenses arising from or related to advocacy services provided, except for gross negligence or willful misconduct.

14. Dispute Resolution

14.1 Governing Law

These terms are governed by Florida state law. Any legal action must be brought in the appropriate courts of Florida.

14.2 Informal Resolution

Before initiating any formal proceeding, Client agrees to contact SOAR at info@soareduservices.com with a detailed description of any dispute and the relief sought. SOAR will attempt to resolve the dispute informally within 30 days.

14.3 Mediation Requirement

If informal resolution is unsuccessful, parties must attempt good-faith mediation through a qualified neutral mediator in Florida before initiating legal action.

14.4 Attorney Fees

The prevailing party in any legal action is entitled to reasonable attorney fees and costs.

15. Force Majeure

SOAR is not liable for delays or failure to perform due to circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, government actions, technology failures, or other unforeseeable events.

16. Contract Terms

16.1 Termination

Either party may terminate services with thirty (30) days written notice. Outstanding balances remain payable. Immediate termination is permitted for material breach. If SOAR terminates services for cause, no refund will be provided. Client may stop using services at any time, but fees for services already rendered are non-refundable.

16.2 Severability

If any provision is deemed unenforceable, the remainder of these terms remains in full effect.

16.3 Modifications

Terms may only be modified in writing and signed by both parties. Website updates to terms apply to future services only. If an update affects your use of services or your legal rights, we will notify you prior to the update's effective date.

16.4 Entire Agreement

These Terms contain the entire agreement between you and SOAR regarding the Services and supersede any prior or contemporaneous agreements or terms and conditions applicable to the subject matter of these Terms.

16.5 Informed Consent

Clients are encouraged to read and understand all materials and rights related to their cases. Questions should be directed to SOAR before service commencement.

16.6 Survival

Sections 4.6, 8, 9, 11.4 through 11.8, 13, and 14 survive the termination or expiration of these Terms and the end of the service relationship.
